These Terms of Service ("Terms") govern your use of the Kiwa UI website at kiwaui.com and any purchases you make from us. By visiting the website or purchasing a Kiwa UI Pro license, you accept these Terms in full. If you do not accept these Terms, do not use the website and do not make a purchase.
These Terms are entered into between you and Tossell Web Solutions Limited ("we", "us", "our"), a company registered in England and Wales. Our registered office is 82 Heol Isaf, Radyr, Cardiff CF15 8EA, United Kingdom.
To purchase a Kiwa UI Pro license you must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are purchasing on behalf of a business, you confirm that you have authority to bind that business to these Terms.
When you purchase a Kiwa UI Pro license, you receive a license key by email. You are responsible for:
We will reissue a license key on request if you have lost it or suspect it has been compromised. We will revoke license keys that are shared, leaked, or used to abuse the registry.
Kiwa UI Pro is sold as a one-time payment of $99 USD. Prices are displayed inclusive of any sales tax or VAT applicable to your location. Payment is processed by Lemon Squeezy, our merchant of record, who issues your receipt and handles tax collection and remittance.
We may change prices for new purchases at any time. Existing licenses are unaffected by future price changes (see License terms in section 6).
We offer a 14-day refund window from the date of purchase, no questions asked. To request a refund, email hello@kiwaui.com from the address used at purchase.
When a refund is issued, your Kiwa UI Pro license terminates automatically and your license key is revoked. The full terms of refund and post-refund obligations are set out in the Kiwa UI Pro Block Commercial License at /license.
Two licenses apply to Kiwa UI software:
Both licenses are reproduced in full at /license. By purchasing or using Kiwa UI software, you agree to be bound by the relevant license.
You agree not to:
Kiwa UI, the Kiwa UI name and logo, and the website content are owned by Tossell Web Solutions Limited. Software components are licensed under the terms set out at /license. Nothing in these Terms transfers ownership of any Kiwa UI intellectual property to you.
The "Hono" name and the Hono framework itself are owned by their respective rights holders and are not part of Kiwa UI.
The following third parties process data or deliver services as part of Kiwa UI:
@kiwa-ui/cli and @kiwa-ui/enhance packages.We are not responsible for the availability, content, or practices of these third parties. See /privacy for how data is shared with these processors.
The Kiwa UI website, software, and services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website or services will be uninterrupted, secure, or error-free.
This section does not exclude any liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
To the maximum extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with these Terms or your use of the Kiwa UI website or services. Our total aggregate liability under these Terms shall not exceed the greater of $100 USD or the amount you paid us in the twelve months preceding the claim.
This section does not exclude any liability that cannot be excluded under applicable law.
We may suspend or terminate your access to the Kiwa UI website, registry API, or license key if you breach these Terms or the Kiwa UI Pro Block Commercial License. Termination does not entitle you to a refund except where required by section 5 above or by law.
You may stop using the Kiwa UI website at any time. Termination of your access does not affect any rights or obligations that arose before termination.
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the most recent changes were made. Continued use of the website after a change constitutes acceptance of the updated Terms.
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer based in the European Union or another jurisdiction with mandatory consumer protection laws, this section does not deprive you of any protection you have under your local law.
