1. Overview

Kiwa UI ships under two licenses:

  • The free parts (CLI, enhance package, primitives, free blocks, and documentation) are MIT licensed. See section 2.
  • The Pro Blocks under registry/blocks/pro/ are commercial software covered by the Kiwa UI Pro Block Commercial License set out in sections 3 to 16 below.

Source-of-truth copies of both licenses live in the LICENSE and LICENSE-PRO.md files at github.com/kiwa-ui/kiwa-ui.

2. Free parts (MIT License)

The MIT License covers:

  • The @kiwa-ui/cli package on npm
  • The @kiwa-ui/enhance package on npm
  • All source files under registry/ui/ (UI primitives)
  • All source files under registry/lib/ (shared library helpers)
  • All source files under registry/blocks/free/ (free blocks)
  • The documentation site source in docs/

3. Pro Block license preamble

Sections 3 to 16 set out the Kiwa UI Pro Block Commercial License v1.0, effective 2026-04-24.

By purchasing a Kiwa UI Pro license, you accept these terms. If you do not accept these terms, do not purchase the license, and do not use the Pro Blocks.

4. Parties

  • "Licensor" means Tossell Web Solutions Limited, a company registered in England and Wales, the owner of Kiwa UI.
  • "Licensee" means the individual developer named as the buyer in the purchase receipt issued by Lemon Squeezy on behalf of the Licensor.
  • "Pro Blocks" means all source files distributed by the Licensor under registry/blocks/pro/ and any future files released as part of the Pro tier within the Kiwa UI registry. Pro Blocks do not include any separate product the Licensor may release in the future, such as starter kits, project templates, design files, or other standalone product offerings.

5. License grant

Subject to the Licensee's continued compliance with this Agreement and payment of the applicable license fee, the Licensor grants the Licensee a worldwide, non-exclusive, non-transferable, non-sublicensable license to:

  1. Use the Pro Blocks in an unlimited number of personal and commercial projects, including projects built for paying clients.
  2. Modify the Pro Blocks to fit the Licensee's project requirements.
  3. Distribute the Pro Blocks only as part of a larger compiled or deployed end-product (for example, a website, web application, or client project) where the Pro Blocks are not the primary value being delivered.

6. Per-developer scope

One Kiwa UI Pro license covers one individual developer. Each developer who actively uses Pro Blocks in their work must hold their own license.

  • Solo founders, freelancers, and indie developers need one license.
  • A team of three developers who all use Pro Blocks needs three licenses.
  • License keys may not be shared between developers.

The Licensor reserves the right to investigate suspected violations and revoke licenses, without refund, where breach is evident.

7. Client and employer work

The Licensee may use Pro Blocks in work delivered to clients or employers, provided the Licensee is the developer building the project. The Licensee's client or employer is not required to purchase their own license solely to receive the delivered project.

If the Licensee's client or employer has other developers who will actively use Pro Blocks on unrelated projects, those developers must hold their own licenses.

8. Restrictions

The Licensee may not:

  1. Redistribute the Pro Blocks as source code, as a package, or in any other form where the Pro Blocks themselves are the primary value.
  2. Resell, sublicense, or relicense the Pro Blocks, including as part of a competing component library, template marketplace, starter kit product, or design system product.
  3. Share their license key with any other person or make it available publicly.
  4. Use the Pro Blocks in any project after a refund has been issued (see section 10).
  5. Remove any copyright, attribution, or license notices from the Pro Block source files, except where such notices are merged into the Licensee's own build artefacts.

9. Refunds

The Licensee may request a full refund within 14 days of the original purchase date, no questions asked, by emailing hello@kiwaui.com from the email address used at purchase.

10. License termination on refund

If a refund is issued for any reason, this license automatically and immediately terminates. Upon termination:

  1. The Licensee's license key is revoked and will no longer authenticate against the Kiwa UI registry API.
  2. The Licensee must cease all use of the Pro Blocks, including any Pro Blocks already copied into the Licensee's projects.
  3. The Licensee must, within seven (7) days of the refund, remove all copies of the Pro Blocks from their systems and from any projects that are not yet publicly deployed.
  4. Pro Blocks already deployed to production at the time of refund must be removed from future builds of those projects.

The Licensor reserves the right to pursue legal remedies against any former Licensee who continues to use, distribute, or derive commercial value from the Pro Blocks after a refund has been issued.

11. Ownership

The Licensor retains all intellectual-property rights in the Pro Blocks. Nothing in this Agreement transfers ownership of the Pro Blocks to the Licensee. The Licensee receives only the license rights expressly granted above.

12. Lifetime access and price changes

This license grants the Licensee lifetime access to every Pro Block, including all current and future updates, new additions, and future major versions (such as v2, v3, and beyond). The Licensee will never pay an additional fee to receive new content or future major versions covered by this Agreement.

The Licensor reserves the right to change the price of Kiwa UI Pro for new license purchases at any time. Any such price change applies only to licenses purchased after the change takes effect; the Licensee's existing license and lifetime access are unaffected.

Other products released by the Licensor in the future, such as starter kits, project templates, design files, and Figma kits, are not covered by this Agreement. Access to those products requires their own purchase or license.

13. Warranty disclaimer

THE PRO BLOCKS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE PRO BLOCKS WILL MEET THE LICENSEE'S REQUIREMENTS OR THAT THE PRO BLOCKS WILL BE ERROR-FREE OR UNINTERRUPTED.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE PRO BLOCKS. THE LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY THE LICENSEE FOR THE LICENSE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Changes to this license

The Licensor may update this Agreement for future purchases. Licensees who purchased before the update remain governed by the version of this Agreement in effect at the time of their purchase, unless they voluntarily accept an updated version.

16. Governing law and contact

This Agreement is governed by the laws of England and Wales. Any dispute arising out of or in connection with this Agreement is subject to the exclusive jurisdiction of the courts of England and Wales.

17. Trademarks

Kiwa UI contains stylized representations of third-party brand marks (GitHub, Facebook, Instagram, LinkedIn, X, YouTube) in thesocial-iconcomponent. Those marks remain the trademarks of their respective owners and are included only to identify links to those platforms.

Use of these marks must comply with each platform's brand guidelines. Kiwa UI grants no rights to the trademarks themselves. The Licensor is not affiliated with, endorsed by, or sponsored by any of those platforms.
